SHIFT Referral Program Terms and Conditions Effective Date: [Insert Date] BY CLICKING “I ACCEPT,” YOU AGREE TO BE LEGALLY BOUND BY THE FOLLOWING TERMS. IF YOU DO NOT AGREE, DO NOT PARTICIPATE IN THIS PROGRAM. These Referral Program Terms and Conditions (“Agreement”) govern your participation in the SHIFT Referral Program (“Program”), operated by SHIFT (“Company,” “we,” or “us”), a Colorado-based Managed Services Provider.
1. Eligibility To be eligible to receive a referral reward, you (“Referrer”) must: Be at least 18 years old and legally capable of entering into contracts under Colorado law. Not be an employee, agent, or contractor of SHIFT. Refer a business that signs a 24-month or 36-month service contract with SHIFT for managed IT services. Ensure the referred business (“Referral”) is not already an existing or prospective client of SHIFT. If the Referrer is an existing customer of SHIFT, the referral reward may be applied as a credit to their invoice or paid directly, at SHIFT’s sole discretion.
2. Qualified Referrals A Qualified Referral must meet all of the following criteria: Be a business entity located in the United States. Sign a minimum 24-month contract for managed IT services within 90 days of the referral submission. Remain in good standing and submit payment for their first full month of recurring services. Any deviation from these requirements disqualifies the Referral and voids any payment obligation by SHIFT.
3. Referral Reward Upon verification that a Qualified Referral has signed an eligible contract and paid their first invoice, SHIFT will issue a one-time referral payment to the Referrer equal to the referred business’s first full month of recurring revenue (excluding project or one-time fees). Payment will be issued 30 calendar days after receipt of the Referral’s first invoice payment. SHIFT will not be liable for any delays outside of its control. Referral payments may be made via check, ACH, or invoice credit, at SHIFT’s sole discretion. SHIFT reserves the right to require W-9 completion and applicable tax documentation before issuing payment.
4. Limitations SHIFT reserves the right to reject any referral for any reason, including but not limited to prior engagement, conflict of interest, or unsuitability. There is no cap on the number of referrals, but each referral must be a distinct legal business entity. Fraudulent activity, misrepresentation, or abuse of this Program will result in immediate disqualification and forfeiture of any unpaid referral rewards.
5. No Employment or Partnership Participation in the Program does not create any agency, partnership, joint venture, or employment relationship between you and SHIFT. You are not authorized to make commitments or representations on behalf of SHIFT.
6. Modification and Termination SHIFT reserves the right to modify, suspend, or terminate this Program or these Terms at any time, with or without prior notice, in its sole and absolute discretion. Referrals submitted before any such changes remain governed by the Terms in effect at the time of submission.
7. Governing Law and Venue This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Denver County, Colorado, and you consent to personal jurisdiction therein.
8. Entire Agreement These Terms constitute the entire agreement between you and SHIFT regarding the Program and supersede any prior communications, representations, or agreements.
